Terms of Service

These terms govern services provided by Aregcode LLC, a Wyoming limited liability company ("Aregcode", "we", "us"), to its clients ("you"). A signed proposal or statement of work ("SOW") for a specific project takes precedence over these terms where they conflict.

1. Services

We provide custom software development services, including web and mobile application development, API and backend development, integrations, automation and maintenance. The scope, deliverables, timeline and price of each engagement are defined in a written proposal or SOW accepted by both parties.

2. Fees and payment

• Fixed-price projects require a deposit (normally 50%) before work begins, with the balance due on delivery or according to the milestones in the SOW.
• Retainers are billed monthly in advance. Hourly work is billed monthly in arrears.
• Invoices are payable in US dollars within 7 days by bank transfer or card. Billing questions: billing@aregcodee.com.
• We may pause work on accounts with overdue invoices.

3. Changes to scope

Requests outside the agreed scope are quoted separately as a change order and require your approval before work begins.

4. Client responsibilities

You agree to provide timely feedback, content, access credentials and decisions needed to complete the work. Delays caused by missing inputs may extend the timeline.

5. Intellectual property

When you have paid in full, all rights to the custom code, designs and deliverables created specifically for you transfer to you. Open-source components remain under their own licenses. We may reuse general know-how and non-client-specific tools and libraries.

6. Confidentiality

Each party will keep the other's non-public business and technical information confidential and use it only to perform the engagement. We are happy to sign your NDA.

7. Warranty

We fix defects reported within 30 days of delivery at no charge, provided they relate to the agreed scope. Apart from this, deliverables are provided "as is", and we do not guarantee that software will be error-free or uninterrupted.

8. Limitation of liability

To the extent permitted by law, our total liability for any claim relating to an engagement is limited to the fees you paid for that engagement in the 3 months before the claim. Neither party is liable for indirect, incidental or consequential damages, including lost profits or data.

9. Termination

Either party may terminate an engagement with written notice. You pay for work completed up to the termination date, and we deliver all work in progress that has been paid for. Retainers require 30 days' notice.

10. Governing law

These terms are governed by the laws of the State of Wyoming, USA.

Privacy Policy

This policy explains how Aregcode LLC collects and uses personal information through this website and in the course of client work.

Information we collect

• Contact details you send us: name, email address, company and the content of your message.
• Billing information needed to invoice you and receive payment. Card payments are processed by our payment provider, and we never store full card numbers.
• Project data you share with us to perform the work, such as access credentials and content.

How we use it

We use your information to respond to inquiries, provide and bill for services, and meet legal and tax obligations. We do not sell personal information or use it for third-party advertising.

Sharing

We share information only with service providers that help us operate (for example email, hosting, banking and payment processors), or when required by law.

Retention and security

We keep information only as long as needed for the purposes above or as required by law, and protect it with reasonable technical and organizational measures. Credentials you share for a project are deleted or returned when the engagement ends.

Your rights

You can ask us to access, correct or delete your personal information by emailing privacy@aregcodee.com.

Refund & Cancellation Policy

• Before work starts: if you cancel a project before work begins, your deposit is refunded in full.
• During a project: if you cancel after work has started, you pay for the work completed to date. Any unused portion of payments already made is refunded within 14 days.
• Completed milestones: payments for delivered and accepted milestones are non-refundable. Defects within the agreed scope are fixed free of charge for 30 days.
• Retainers: cancel at any time with 30 days' notice. Prepaid months already in progress are not refunded.
• Disputes: if you are unhappy with a deliverable, contact us first at support@aregcodee.com. We will work in good faith to fix it.
• Refund requests: email billing@aregcodee.com with your invoice number.
